These Terms & Conditions (“Terms”) along with the Privacy Policy govern the access to and use of the website www.zenvyonline.in (“Platform”), operated by Zenvy Online (“Zenvy”, “we”, “us”, “our”). By accessing, browsing or placing an order on the Platform, the user (“you”, “your” “customer”, “client”, “member”) agree, acknowledge and accept to be bound by these Terms. Your continued access, usage or browsing the platform is deemed acceptance to these updated terms & conditions and Privacy Policy.

It is mandatory for all users of the Site to have read carefully, fully understood and be in total agreement to the below mentioned Terms before they proceed to use any of the services of Zenvy Online. Anyone who does not agree or doesn’t wish to be bound by the Agreement, shall not access or otherwise use the Site or Services extended by Zenvy Online in any manner.

This Agreement applies to Service/Products offered by Zenvy, Free as well as Paid. Additional terms and conditions may be applicable to specific Paid Service provided, however, in the event of any conflict or inconsistency between any provision of the terms and conditions that may be applicable to such Paid Service and any provision of this Agreement, such conflict or inconsistency shall (except as otherwise expressly provided or agreed) be resolved in a manner favorable to Zenvy Online.

  1. ABOUT ZENVY ONLINE

ZenvyOnline.in is an electronic web-based online fruits and vegetables platform offering fresh produce, handpicked for quality and delivered to customers within Delhi. Zenvy Online has its registered address at ____________________________.

Through the Platform, users can select from a wide range of fruits and vegetables at competitive prices. Zenvy operates with the objective of providing quality produce with timely delivery, subject to availability and operational constraints.

  • ELIGIBILITY

You must be at least 18 years of age and legally competent to contract under Indian law. By using the Platform, you represent and warrant that you meet this requirement.

  • USERS – GENERAL OBLIGATIONS
    • You represent and warrant that all information submitted by you is true, accurate and complete and shall be kept updated.
    • Your account, membership, orders or purchases may be cancelled or terminated without notice if Zenvy believes you are in breach of these Terms or applicable law.
    • You shall not copy, reproduce, download, distribute or exploit any content without prior written consent.
    • Zenvy shall not be liable for any indirect, incidental or consequential damages arising from use or inability to use the Platform.
  • ACCOUNT & USER RESPONSIBILITIES
    • You are responsible for maintaining confidentiality of your account and payment details.
    • All activities conducted through your account shall be deemed to be undertaken by you.
    • Zenvy reserves the right to verify, suspend or terminate accounts providing false or misleading information.
  • PRODUCTS, PRICING & AVAILABILITY
    • Product images are indicative only. Natural variations in size, colour, weight and appearance may occur.
    • Prices are displayed in INR and may be inclusive or exclusive of applicable taxes as mentioned. If any product or peice does not indicate the same, the same shall be exclusive of taxes.
    • You are responsible for verifying product details, pricing and quantity before placing the order.
    • Product availability is subject to change without prior notice.
  • ORDERS & DELIVERY
    • Zenvy facilitates delivery of orders placed on the Platform through itself or independent delivery partners or third-party logistics providers operating on a principal-to-principal basis. Such delivery partners (except employees) are not employees or agents of Zenvy.
    • Delivery is currently available only within selected areas of Delhi, subject to serviceability, availability of delivery partners and operational feasibility.
    • Any delivery timelines displayed on the Platform are indicative estimates only and shall not be construed as a guarantee. Delays may occur due to traffic conditions, weather, force majeure events, high demand, incorrect address details, customer unavailability or any other reasons beyond Zenvy’s reasonable control.
    • You are solely responsible for providing accurate and complete delivery details and ensuring availability at the delivery location at the time of delivery.
    • If you instruct or permit the delivery partner to leave the order unattended or deliver it to a third party, Zenvy shall not be liable for any loss, theft, tampering, spoilage or deterioration of the products thereafter.
    • Zenvy shall not be liable for any acts or omissions done by delivery partners or any third party associates.
    • Users must treat delivery partners, customer care executives and other employees or non-employees involve in providing services to you with dignity and respect. Any misconduct may result in suspension or termination of access along-with any other action as Zenvy deems fit.
  • PAYMENTS
    • All payments for orders placed on the Platform shall be made in Indian Rupees only.
    • Accepted payment modes may include UPI/QR code payments, Cash on Delivery (COD) and such other RBI-approved payment mechanisms as may be enabled from time to time.
    • Online payments are processed through third-party payment gateways. Zenvy does not store or process card details, UPI IDs or banking credentials.
    • For COD orders, you shall ensure payment of the exact order amount to the delivery partner. Zenvy shall not be responsible for any excess or short payment made by you.
    • All payments must be made only in favour of the officially disclosed legal entity of Zenvy Online. Zenvy shall not be liable for any loss arising from payments made to unauthorized individuals or accounts.
  • CANCELLATION, RETURNS & REFUNDS
    • Orders once placed cannot cancelled. Any cancellation request is subject to acceptance by Zenvy only.
    • Fresh fruits and vegetables being perishable in nature are non-returnable and non-refundable once delivered, except in cases where the product is expired. For damaged, spoiled or incorrectly delivered goods, the requests shall be considered only when complaints are raised at the time of delivery or within 30minutes of delivery only.
    • Any complaint for refund or replacement must be raised within 24 hours of delivery along with clear photographic or video evidence or any other records, as may be requested by Zenvy.
    • Upon verification, Zenvy may, at its sole discretion, or may  not, offer a replacement, refund or credit.
    • Approved refunds shall be processed within 7 working days through the original mode of payment or as store credits, as determined by Zenvy.
    • Zenvy’s decision in relation to cancellation, refund, replacement or exchange shall be final and binding.
  • DISCLAIMER & LIMITATION OF LIABILITY
    • The Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
    • To the maximum extent permitted by law, Zenvy disclaims all warranties including merchantability, fitness for a particular purpose, accuracy, reliability and uninterrupted availability.
    • Zenvy shall not be liable for any indirect, incidental, special, punitive or consequential damages including loss of profits, loss of data or business interruption.
    • Zenvy’s maximum aggregate liability, if any, shall be limited to the amount actually paid by you for the relevant order.
  1. USER CONTENT, COMMENTS & CUSTOMER FEEDBACK
    1. Any reviews, comments, feedback, images, videos or other content submitted by you on the Platform shall become the property of Zenvy.
    1. By submitting such content, you grant Zenvy a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, publish, adapt, distribute and display such content for business, marketing or promotional purposes.
    1. You represent and warrant that you own or have lawful rights to the content submitted and that such content does not infringe any third-party rights.
    1. Zenvy reserves the right to remove or moderate any content that it deems inappropriate, misleading or in violation of these Terms.
  1. INDEMNITY

You agree to indemnify, defend and hold harmless Zenvy, its owners, affiliates, employees and partners from and against any claims, damages, losses, liabilities, costs or expenses arising out of or in connection with: (a) your breach of these Terms; (b) misuse of the Platform; (c) violation of any law; (d) infringement of third-party rights; or (e) any content submitted by you.

  1. INTELLECTUAL PROPERTY RIGHTS
    1. All intellectual property including trademarks, logos, content, text, graphics, software and design on the Platform are owned by or licensed to Zenvy.
    1. No right, title or interest is transferred to you by virtue of accessing or using the Platform.
    1. You shall not copy, reproduce, distribute, modify or exploit any intellectual property without prior written consent of Zenvy.
  1. REPORTING IPR INFRINGEMENT

If you believe your intellectual property rights are infringed, you may contact us at grievance.officer@zenvyonline.in with relevant details.

  1. DISCLOSURE OF INFORMATION

Zenvy may disclose user information to affiliates, service providers, payment processors, delivery partners or governmental authorities where required for service delivery, compliance with law or protection of legal rights, in accordance with the Privacy Policy.

  1. INDEMNITY

You agree to indemnify and hold harmless Zenvy from claims, losses or damages arising from your breach of these Terms or violation of law.

  1. LIMITATION OF LIABILITY

Zenvy’s maximum liability shall not exceed the amount paid by you for the relevant order. Zenvy shall not be liable for indirect or consequential damages.

  1. TERMINATION
    1. Zenvy reserves the right to suspend, restrict or terminate your access to the Platform at any time, without prior notice, if you breach these Terms or applicable laws.
    1. Termination shall not affect any rights or obligations accrued prior to termination.
    1. Provisions relating to intellectual property, limitation of liability, indemnity and governing law shall survive termination.
  1. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of India. Courts at Delhi shall have exclusive jurisdiction.
